Eind maart werd duidelijk dat de Britse CMA zijn mening over de overname van Activision Blizzard door Microsoft had herzien. Naar aanleiding van verdere onderzoeken en discussies kwam de waakhond tot de conclusie dat de overname geen bedreiging voor Sony zou zijn. Hier heeft Sony nu op gereageerd.

De reactie viel enigszins te verwachten, maar het Japanse bedrijft stelt teleurgesteld te zijn in de uitkomst. In een rapport geven ze uitgebreid hun mening over de bevindingen van de CMA. De korte samenvatting: verrassend, ongekend en irrationeel.

“The CMA’s reversal of its position on its consoles theory of harm is surprising, unprecedented, and irrational. The Provisional Findings (“PFs”) assessed a significant body of evidence in the round to support its finding that Microsoft would have the ability and incentive to withhold Activision content, and that this would substantially lessen competition by foreclosing PlayStation.”

Sony had veel argumenten en ‘bewijzen’ aangedragen dat Microsoft Activision content zou kunnen achterhouden voor de PlayStation. Dit zou een grote impact kunnen hebben op de competitie. Vanuit dat oogpunt had Sony zo te lezen juist bijval verwacht in plaats van een aangepaste mening in het voordeel van Microsoft.

Tegen het einde stelt Sony dat de conclusie van de CMA niet overeenkomt met de bezwaren die gelden voor de (in potentie) verminderde competitie. Daarnaast zouden er fouten in het rapport staan en tot slot is het gebaseerd op speculatie in plaats van feiten. Best ironisch, gezien veel argumenten van Sony ook speculatie zijn.

“…In conclusion, SIE respectfully submits that the Addendum does not justify the CMA’s U-turn on the consoles theory of harm. The revised LTV model is vitiated by errors that bias the model to finding no incentive to Microsoft to foreclose. The Addendum jettisons, without sound reason, the PFs’ thorough analysis of other evidence establishing Microsoft’s incentives. And the Addendum’s partial foreclosure discussion is based on pure speculation, rather than evidence.”

Sony geeft als laatste aan dat de CMA de analyse opnieuw zou moeten uitvoeren. Mocht je de hele reactie willen lezen, dan kan je hier terecht.

“To reach a robust decision, the CMA should revisit its analysis of Microsoft’s incentives and partial foreclosure, correcting for the errors identified in this paper.”

Mocht de CMA besluiten hier verder niets meer mee te doen, dan is het in dat opzicht vanuit de Britse overheid groen licht. Daarmee is Microsoft er nog niet, want er zijn nog discussies gaande omtrent de impact van de overname op de cloud gaming markt, maar dat is weer een ander verhaal.
